1. Agreement and eligibility
These Terms of Service (“Terms”) are a binding agreement between you and Balm Technologies Inc. (“Balm Technologies,” “we,” “our,” or “us”). They apply when you visit balmtechnologies.com, create an account or use our websites, dashboard and platform (the “Services”). By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.
You must be at least 18 years old. If you use the Services for a business or other organization, you confirm that you can bind it to these Terms, and “you” includes that organization.
2. The Services
We build websites and provide a business operations platform with AI voice agents, a website builder, QR codes, Intelligence (research and insights), Finance records and invoices, and a wallet. Features, limits and prices depend on your plan and may change; the current plans and limits are shown in your dashboard. Our Susanna app has its own Terms.
If we build a custom project for you, a separate proposal or written agreement describes the work, schedule and fees. If it conflicts with these Terms for that project, the proposal or agreement controls.
3. Your account
Give us accurate information and keep it up to date. You are responsible for your password and for everything that happens under your account. Tell us promptly if you think it has been used without permission. You may not share your account in a way that avoids plan limits or fees.
4. Plans, wallet and payments
Paid plans are billed monthly through Stripe until you cancel. Each plan includes a monthly allowance of certain features (such as voice minutes, research reports, Intelligence questions and website builds) that resets on the 1st of each month. Unused allowance does not carry over.
Use beyond your allowance is paid from your wallet, a dollar balance you top up through Stripe, at the prices shown in your dashboard. Fixed limits (such as the number of agents or pages) cannot be bought by the unit; you upgrade your plan instead. If your wallet cannot cover usage, that feature may stop until you top up or upgrade.
Automatic top-up is optional. If you turn it on, you authorize us to charge your saved card, through Stripe, to add the amount you chose whenever your balance falls below the level you set, subject to a monthly limit. You can turn it off or remove the card at any time.
You can cancel a paid plan from your dashboard. Cancellation takes effect at the end of the billing period you have paid for, and you keep access until then. Fees already paid, including wallet top-ups, are non-refundable except where the law requires or where we say otherwise in writing. If a feature fails and does not deliver a result, such as a research report that errors, we credit the charge back to your wallet.
Prices are in U.S. dollars and exclude taxes, which we add where required. We may change prices or plan contents on reasonable notice; changes apply from your next billing period.
5. Your content
“Your Content” means everything you submit to or create with the Services, including agent instructions, templates, website content, conversations, CRM records, invoices and Finance records. You keep your ownership rights in Your Content.
You give us a limited, worldwide, non-exclusive license to host, copy, process and display Your Content only as needed to operate, secure, support and improve the Services, to carry out your instructions and to meet legal duties. This ends when Your Content is deleted from our systems, apart from reasonable backup, security and legal retention.
You promise that you have the rights, permissions, notices and consents needed for Your Content and for the way you use the Services, and that Your Content and your use do not break the law or anyone’s rights.
6. Voice agents, recording and notices
You decide how your voice agents are used and who they talk to. Before an agent talks to, records or transcribes a person, you must give any notice and get any consent the law requires where you and that person are, including telling people when they are speaking with an AI and that the conversation is recorded or transcribed. Recording, calling and marketing laws differ by place, and some require the consent of every participant.
We do not give legal advice, decide whether your use is lawful, or give notice or collect consent for you. To the fullest extent the law allows, you are responsible for your use, including any telemarketing, wiretapping, privacy or consumer-protection laws that apply to it. Stop recording immediately if a person objects.
7. Acceptable use
You may not use the Services to:
- Break the law or someone’s rights, or record, track, impersonate, deceive, harass, threaten or defraud anyone.
- Send spam or unlawful or unwanted calls or messages.
- Publish or share content you have no right to use, or that is unlawful, hateful, sexually exploitative of minors, or promotes serious harm.
- Upload malware, or probe, scrape, overload, bypass security of, or gain unauthorized access to the Services.
- Reverse engineer the Services, or use them to build a competing product.
- Misuse AI output, for example by presenting it as verified fact or making automated decisions with legal or similarly serious effects on people without proper safeguards and human review.
- Resell the Services without our written permission.
We may remove content, limit features or suspend an account that breaks these rules or puts others at risk.
8. AI features
Parts of the Services use AI to write, speak, summarize, research and suggest. AI output is probabilistic and may be inaccurate, incomplete or out of date. It is not professional, legal, medical, financial, tax or other expert advice. You are responsible for checking it and for how you use it. Reports and insights are for your information, and we do not guarantee any business result.
9. Finance tools
The Finance workspace helps you keep customers, invoices, receipts and transactions. It is a record-keeping aid, not an accounting, tax, legal or financial service. You are responsible for the accuracy of what you enter, for the invoices and receipts you issue and for meeting your own tax and legal duties.
10. Websites and pages you publish
Pages you publish through the Services are public. You are responsible for their content, for the web address you choose, and for any notices they need, such as your own privacy policy. We may refuse or remove names that are reserved, misleading, infringing or unlawful.
11. Third-party services
The Services work with providers such as Google, Stripe, OpenAI, ElevenLabs and Twilio. Their own terms and policies apply to your use of their products. We are not responsible for third-party services, and they may change or become unavailable.
12. Our property
We and our licensors own the Services, including our software, designs, templates and branding. These Terms give you a limited, revocable, non-transferable right to use the Services while your account is in good standing; they do not transfer any ownership to you. If you give us feedback or ideas, we may use them without owing you anything.
13. Changes and availability
We may improve, change or retire features, and we try to keep the Services running but do not promise they will always be available, uninterrupted or error-free. We may update these Terms; we will post the new version with a new effective date and give more notice where the law requires. If you keep using the Services after a change takes effect, you accept it. If you do not agree, stop using the Services.
14. Suspension and termination
You can stop using the Services and close your account at any time. We may suspend or end your access if you break these Terms, if your use creates risk or legal exposure, if you do not pay, or if we stop offering the Services. After termination, your right to use the Services ends and we may delete Your Content after a reasonable period; ask us if you need a copy first. Sections that by their nature should continue, such as ownership, disclaimers, liability, indemnity and disputes, will continue.
15. Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Services or AI output will be accurate, secure, uninterrupted or error-free.
16. Limitation of liability
To the fullest extent the law allows, Balm Technologies and its affiliates, officers, employees and providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Services. Our total liability for all claims relating to the Services will not exceed the greater of the amount you paid us in the 12 months before the claim arose or US$100. Some places do not allow these limits, so they may not apply to you in full.
17. Indemnification
To the extent the law allows, you will defend, indemnify and hold harmless Balm Technologies and its affiliates, officers, employees, agents and providers from third-party claims, losses, liabilities, damages, costs and reasonable legal fees arising from Your Content, your use of the Services (including your recording, calling or messaging of other people), your breach of these Terms or the law, or your infringement of another person’s rights. We will give you reasonable notice of a claim, and you may not settle one that admits fault for us or limits us without our written consent.
18. Disputes
Before filing a formal claim, you and we agree to try in good faith to resolve the dispute informally for at least 30 days after written notice that describes the issue and what you want. Send notices to hello@balmtechnologies.com. Either of us may ask a court for urgent relief to prevent immediate harm. Any dispute will be governed by applicable law and brought in a court with lawful jurisdiction. These Terms do not require arbitration.
19. General terms
These Terms and the Privacy Policy are the entire agreement between you and us about the Services and replace earlier agreements on the same subject, except a separate project agreement as described above. If a provision cannot be enforced, it will be limited as little as needed and the rest stays in effect. Our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in a merger, acquisition, reorganization or sale of assets.
